ACCEPTANCE OF LEGALLY BINDING TERMS

By accessing or using the TitoNova Platform, the user (“You”) expressly agrees to be legally
bound by the entirety of these Terms of Use. These Terms constitute a binding contract
between you and TitoNova World Technologies LLC (“TitoNova”, “We”, “Us”, “Our”).

If you do not agree with all provisions herein, you must immediately discontinue use of all
TitoNova services, applications, and systems.

TitoNova reserves the right, at its sole discretion and without prior notice, to:
• Modify, suspend, or terminate platform access
• Reject any user, provider, or partner registration
• Enforce additional compliance measures
• Pursue legal, financial, or regulatory remedies

2. OWNERSHIP, CORPORATE AUTHORITY & PLATFORM CONTROL

The TitoNova ecosystem—including but not limited to:
• User App
• Driver/Provider App
• Store/Vendor System
• Web Platform
• Multi-Service Dispatch Engine
• GPS Tracking & Telemetry
• Wallet & Payment Infrastructure
• Admin & Super Admin Panels

—is the exclusive property of TitoNova World Technologies LLC.

TitoNova retains exclusive authority to:
• Control access
• Approve or deny onboarding
• Enforce safety & compliance standards
• Deactivate accounts without notice
• Protect proprietary systems through legal action

All rights not explicitly granted are reserved.

3. LICENSE TO USE THE PLATFORM

TitoNova grants you a limited, revocable, non-transferable, non-exclusive license to use the
platform solely for personal or business purposes expressly permitted by TitoNova.

You are strictly prohibited from:
• Copying or duplicating any part of the platform
• Reverse engineering, decompiling, or extracting source code
• Creating competing products or derivative works
• Selling, sublicensing, or redistributing any TitoNova content
• Accessing restricted or administrative areas without authorization

Violation constitutes grounds for immediate termination and potential civil or criminal
action.

4. USER & PROVIDER ELIGIBILITY REQUIREMENTS

To access TitoNova:

Users must:
• Provide truthful and accurate personal information
• Not engage in fraudulent account creation

• Not misuse promotions, payment systems, or identity features

Drivers/Service Providers must:
• Hold valid legal documents in their jurisdictions
• Pass identity verification and compliance checks
• Maintain active licenses/permits where applicable
• Operate as independent contractors, not employees
• Assume full responsibility for their actions, behavior, and legal compliance

TitoNova bears no responsibility for the acts, omissions, or negligence of independent
Providers.

5. PAYMENT, FEES, AND FINANCIAL AUTHORIZATION

By using the platform, you authorize TitoNova to:
• Process payments through third-party gateways
• Charge applicable service/booking/cancellation fees
• Withhold taxes, levies, or regulatory fees where required
• Investigate and challenge chargebacks or fraudulent claims

Completed trips/services cannot be refunded, and fraudulent chargebacks may result in:
• Permanent account ban
• Recovery collections

• Legal action under applicable fraud statutes

6. CANCELLATION, PENALTIES & NON-REFUNDABLE SERVICES

TitoNova reserves the right to impose:
• Late cancellation penalties
• Surge or premium pricing
• No-show charges
• Administrative recovery fees

Any service successfully rendered is final, non-reversible, and non-refundable except where
required by law.

7. INTELLECTUAL PROPERTY — MAXIMUM PROTECTION

The following are expressly owned, licensed, or exclusively controlled by TitoNova:
• Logos, trademarks, trade dress, and brand identity
• User and Provider interface design
• Proprietary algorithms, GPS telemetry, pricing logic
• Databases, architectures, and backend systems

• Icons, media, illustrated assets, and service categories
• API structures, UI frameworks, and microservice architecture

Unauthorized reproduction, adaptation, distribution, or technological interference
constitutes a violation of:
• U.S. Copyright Law
• Digital Millennium Copyright Act (DMCA)
• Kenya Copyright Act
• International IP Treaties

We will pursue full legal remedies including financial damages.

8. DATA COLLECTION, LOCATION TRACKING & PRIVACY

TitoNova collects and processes:
• Real-time GPS data
• Trip/service logs
• Device information
• Telemetry & safety data
• Identity & verification documents

This data is used for:
• Service delivery

• Fraud prevention
• Safety and compliance monitoring
• Incident review
• Law enforcement cooperation (when legally required)

Under no circumstances does TitoNova sell users’ personal location data to external
advertisers.

9. LIMITATION OF LIABILITY (MAXIMUM PROTECTION)

To the fullest extent permitted by law, TitoNova shall not be liable for:
• Acts of drivers, providers, or third-party partners
• Delays due to traffic, weather, or technical issues
• Lost items, property damage, or physical harm caused by providers
• Business losses, revenue losses, or indirect damages
• Errors in GPS routing, map data, or estimated arrival times

In all circumstances, TitoNova’s liability shall not exceed the total amount paid by the user
during the 30 days preceding the incident, if any.

10. TERMINATION, SUSPENSION & INVESTIGATIONS

TitoNova may, at its sole discretion:
• Suspend accounts without prior notice
• Terminate access permanently
• Delay or deny payouts
• Initiate fraud investigations
• Report misconduct to authorities

Reasons for immediate action include:
• Fraud
• Abuse
• Identity falsification
• Physical/verbal misconduct
• Payment disputes submitted in bad faith
• Safety violations
• Regulatory violations

TitoNova is not obligated to provide explanations or reinstatement.

11. GOVERNING LAW & DISPUTE RESOLUTION

Depending on your region of use:

• In the United States, these Terms are governed by U.S. federal law and the laws of the state
in which services were rendered.
• In Kenya, these Terms are governed by Kenyan contract and commercial law.
• International operations follow applicable jurisdictional rules.

Any claims must be brought exclusively in competent courts within the applicable region.

TitoNova may update, modify, or revise these Terms at any time.
Continued platform usage constitutes acceptance of updated Terms.

14. FAMILY TRACKING, EMPLOYEE MONITORING & LOCATION SHARING CONSENT
TitoNova provides optional geolocation features, including but not limited to Family
Tracking, Employee Tracking, Live GPS Sharing, Safety Monitoring, and Real-Time Location
Alerts (“Tracking Features”). These features are offered strictly for lawful, transparent,
safety-related, and user-authorized purposes.
14.1 User Responsibility for Obtaining Consent
By enabling any Tracking Feature, you expressly acknowledge and agree that you are solely
responsible for obtaining clear, informed, and verifiable consent from every individual
whose location is being tracked. TitoNova does not verify or confirm consent and is not
responsible for disputes arising from unauthorized tracking.
14.2 Intended Use of Tracking Features
Tracking Features are intended solely for family safety, logistics oversight, emergency
response, and lawful employee monitoring. They must not be used for harassment, stalking,
covert monitoring, or any unlawful surveillance.
14.3 No Liability for Tracking Accuracy or Misuse
TitoNova does not guarantee GPS accuracy, uninterrupted tracking, or prevention of
tampering. TitoNova disclaims all liability arising from misuse, inaccurate location data, or
user failure to obtain consent.
14.4 Data Processing & Retention
Location data may be stored temporarily for service continuity, logged for safety, or shared
only when legally required. TitoNova does not sell or disclose tracking data for marketing.
14.5 Enforcement & Account Actions
TitoNova may investigate tracking misuse, suspend accounts, notify authorities, or take
legal action for violations.
14.6 Indemnification
You agree to fully indemnify and hold TitoNova harmless against any claims, disputes,
liabilities, or damages arising from unauthorized tracking or misuse of Tracking Features.
